Terms of service

LeadsRally is a product owned and operated by VALHALLA MARKETING LLC, a Florida limited liability company. References to "LeadsRally", "we", "us", or "our" in these Terms mean VALHALLA MARKETING LLC, which offers this product under the trade name LeadsRally.
By creating a LeadsRally account you agree to these Terms. If you do not agree, do not use the service. "You" means the individual accepting these Terms and the organization on whose behalf they are accepting.
1. Your responsibilities
- You will only contact people who have given you prior express written consent to receive SMS or WhatsApp messages from you, per TCPA, CAN-SPAM, CASL, GDPR, and any other laws that apply to your audience.
- You will honor opt-out requests (STOP keyword, unsubscribe link) promptly — in no case later than 10 business days.
- You will keep your Twilio, Meta, and other credentials confidential and notify us immediately of any suspected compromise.
- You are responsible for the content of messages you send through the platform.
- You will not resell, sublicense, or provide the service to third parties without our written consent.
2. Acceptable use
You may not use LeadsRally to send spam, phishing, deceptive content, or anything that violates Twilio or Meta acceptable-use policies. You may not use the service to contact individuals about: illegal substances, firearms, debt collection without authorization, payday loans, or any content prohibited by 10DLC SHAFT rules. We may suspend accounts that trigger sustained abuse signals.
3. Account roles
Each LeadsRally account has three role levels:
- Owner — the person who creates the account. Has full access to all settings, billing, integrations, and user management. Responsible for compliance with these Terms on behalf of the organization.
- Admin — can manage team members, configure automations, and access all contacts and conversations. Cannot modify billing or delete the account.
- Agent — can view and respond to assigned conversations. Access to contacts and features is limited to what the Owner or Admin grants.
You are responsible for ensuring all users in your account comply with these Terms.
4. Account and security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us at [email protected] if you suspect unauthorized access.
5. Service availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance, upstream provider outages (Twilio, Meta, Anthropic, Railway), or force majeure events can affect delivery. Nothing in these Terms creates a service-level guarantee unless agreed in a separate written contract.
6. Data ownership and processing
You own the contact and message data you upload. We process it on your behalf to deliver the service, as described in our Privacy Policy. You warrant that you have the right to provide that data to us and that processing it on our platform complies with the law applicable to your audience.
7. Fees and billing
If your plan is paid, fees are charged in advance on a monthly or annual cycle. Fees are non-refundable except where required by law. Overage charges (e.g. messages beyond the included allotment) are billed at the rates published in your account or the separate order form. Subscriptions renew automatically until cancelled from the account; cancel at least 3 days before the renewal date to avoid the next charge.
If a payment fails, we will retry the charge and notify you by email. You have a grace period of up to 10 days to resolve the payment before access to the service is suspended. Your data is preserved during the grace period.
8. Third-party services
The platform integrates with Twilio (SMS), Meta (WhatsApp Business, Lead Ads), Anthropic (AI), and others. Their terms apply to your use of their services through LeadsRally. We are not responsible for their outages, policy changes, or account suspensions.
9. SMS communications
SMS communications under these Terms cover two distinct programs:
9.1 LeadsRally's own SMS program. LeadsRally sends recurring marketing SMS directly to users and prospects who opt in on leadsrally.app/en/sms-consent. This is a marketing-only program: the SMS opt-in is collected as a separate, optional consent and is never bundled with any service or transactional consent. Message categories include: welcome confirmation after marketing opt-in, demo reminders, product updates, and promotional offers. Service and account-related notifications (such as billing, security alerts, and account changes) are delivered by email under a separate consent and are not part of this SMS program. Message frequency varies. Message and data rates may apply. You can cancel SMS at any time by replying STOP to any message. After you reply STOP, we send one confirmation message and you will receive no further SMS from this program; to rejoin, opt in again on the form above. For help, reply HELP to any message or email [email protected]. Carriers are not liable for delayed or undelivered messages. The mobile information collected for this program is never shared, sold, or transferred to third parties or affiliates for marketing or promotional purposes.
9.2 Customer SMS via the platform. LeadsRally also enables businesses ("customers") to send SMS messages to their own contacts through Twilio. The following rules apply to those customer-originated SMS:
- Opt-in required: you must obtain prior express written consent from each contact before sending any SMS. Consent must be documented and stored. You are solely responsible for compliance with TCPA, CAN-SPAM, and any other applicable law.
- Opt-out honored immediately: you must honor STOP requests without delay and in no case later than 10 business days. No further SMS may be sent to a contact after a valid STOP request.
- Required message disclosures: every opt-in form or verbal consent interaction must include: your business name, message type description, "Msg & data rates may apply", STOP/HELP instructions, and links to your Privacy Policy and Terms.
- No sharing of opt-in data: phone numbers and consent data collected for SMS purposes may not be sold, rented, or shared with third parties for their own marketing.
- Content restrictions: SMS content must comply with Twilio's Acceptable Use Policy, 10DLC SHAFT rules, and all applicable laws. Prohibited content includes spam, phishing, illegal offers, and deceptive messaging.
10. Termination
You can delete your account at any time from Settings. We can suspend or terminate accounts for non-payment, policy violations, or abuse. On deletion, your data is removed per the retention schedule in our Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADSRALLY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS IS LIMITED TO THE FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnity
You agree to indemnify and hold LeadsRally harmless from claims arising from your content, your use of the service, or your breach of these Terms — including claims by end-contacts who allege they did not consent to receive messages from you.
14. Changes to these Terms
We may update these Terms. Material changes will be announced in-product and via email to account owners at least 14 days before they take effect. Continued use of the service after changes constitutes acceptance.
15. Governing law and dispute resolution
These Terms are governed by the laws of the jurisdiction where LeadsRally is incorporated, without regard to conflict-of-laws rules. Any dispute arising from these Terms will be resolved in the courts located in that jurisdiction, and you consent to that venue.
